SB 2697 amends the Texas Business Organizations Code to clarify that a filing entity whose corporate privileges were forfeited under the Tax Code can revive its privileges and reinstate its certificate of formation by following the necessary tax procedures. It establishes that an entity that successfully revives its privileges is considered to have continued its existence without interruption, but the revival does not affect any personal liability incurred by its officers or agents during the forfeiture period.
